1. Services
OK Biz Solutions LLC provides commerce solutions, point-of-sale infrastructure, merchant onboarding, and related support services to retail merchants ("Services"). The specific scope of Services will be outlined in your service agreement or statement of work.
2. Eligibility
Our Services are available to businesses that are legally organized and operating in compliance with all applicable federal, state, and local laws. By engaging our Services, you represent that your business is duly authorized to operate in your jurisdiction.
3. Service Agreements
Services are provided on a contractual basis. Specific terms including pricing, scope, duration, and service levels will be detailed in a separate service agreement executed by both parties. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail.
4. Payment
Payment terms will be specified in your service agreement. Unless otherwise agreed in writing, invoices are due within thirty (30) days of receipt. Late payments may be subject to service suspension after written notice and a reasonable cure period.
5. Client Responsibilities
You agree to:

- Maintain the security of any credentials, accounts, or equipment provided
- Comply with all applicable laws and regulations in your use of our Services
- Notify us promptly of any issues, errors, or security concerns
6. Intellectual Property
All software, systems, processes, and materials provided by OK Biz Solutions LLC remain our intellectual property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable license to use such materials solely in connection with the Services during the term of your agreement.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive business information disclosed during the course of the service relationship. This obligation survives termination of the agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, OK Biz Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Services, including but not limited to loss of revenue, data, or business opportunities.
In no event shall our total liability exceed the total fees paid by you to OK Biz Solutions LLC in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
Services are provided "as is" and "as available." We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service.
10. Indemnification
You agree to indemnify, defend, and hold harmless OK Biz Solutions LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Services, your breach of these Terms, or your violation of any applicable law.
11. Termination
Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. Upon termination, you must cease use of any proprietary materials and return or destroy any confidential information in your possession.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Oklahoma.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
